Terms of Service.

These Terms of Service (“Terms”) govern your use of Gather, an iOS application (“the App”) developed and operated by Onishi Studios (“we”, “us”, “our”). By creating an account or using the App, you agree to these Terms. If you do not agree, do not use Gather.

1. Eligibility

You must be at least 13 years old to use Gather. By using the App, you represent that you meet this age requirement. If you are under 18, you represent that a parent or guardian has reviewed and agreed to these Terms on your behalf.

2. Your Account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must provide accurate information when creating your account. You may not impersonate another person or create an account on behalf of someone else without their permission. Notify us immediately at dev@onishistudios.com if you suspect unauthorized use of your account.

3. User Conduct

Gather is built for genuine in-person social connection. You agree not to use the App to:

• Post events or content that is illegal, harmful, threatening, harassing, defamatory, obscene, or otherwise objectionable
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Spam other users with unsolicited messages, friend requests, or join requests
• Use the App for commercial solicitation, advertising, or promotion without our prior written consent
• Collect or harvest personal information about other users without their explicit consent
• Attempt to gain unauthorized access to any part of the App or another user’s account
• Interfere with or disrupt the App or servers or networks connected to the App
• Use automated tools (bots, scrapers, crawlers) to access the App

4. Event Hosting

When you create an event on Gather, you are responsible for:

• Ensuring the event complies with all applicable local laws, regulations, and venue rules
• Providing accurate event information including location, date, and description
• Managing your guest list responsibly and not using Gather to organize events intended to harm, deceive, or exploit attendees
• Any activity that takes place at events you organize

We are not responsible for the content, safety, legality, or outcome of any event organized through Gather. We reserve the right to remove events that violate these Terms.

5. Prohibited Content

The following content is strictly prohibited on Gather and will result in immediate account termination:

• Content that sexualizes minors in any way
• Credible threats of violence against any individual or group
• Content designed to facilitate actual (not fictional) violence or illegal activity
• Hate speech targeting individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin
• Content that violates another person’s privacy, including sharing someone’s private location or personal information without consent

6. Premium Subscriptions

Gather offers optional premium subscriptions (Monthly and Annual) purchased through Apple’s App Store. All purchases are subject to Apple’s terms and conditions. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. You can manage or cancel your subscription at any time in your Apple ID Account Settings. We do not offer refunds for unused portions of a subscription period — all refund requests must be directed to Apple.

7. Intellectual Property

The App, including its design, code, graphics, and content created by Onishi Studios, is owned by Onishi Studios and protected by applicable intellectual property laws. You retain ownership of content you create and post through the App (event descriptions, profile information), but you grant us a limited, non-exclusive license to store, display, and deliver that content to other users as part of the App’s normal operation.

8. Account Termination

You may delete your account at any time from the app’s Settings screen. Deletion permanently removes your profile, events, and personal data from our systems within 30 days.

We reserve the right to suspend or terminate your account without notice if we determine, in our sole discretion, that you have violated these Terms. Violations of Sections 3, 4, or 5 may result in immediate permanent termination without warning.

9. Disclaimer of Warranties

Gather is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Onishi Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the App, even if we have been advised of the possibility of such damages. Our total liability to you for any claims arising from these Terms or the App shall not exceed the amount you paid us in the 12 months preceding the claim, or $10, whichever is greater.

11. Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms or the App shall first be attempted to be resolved through good-faith negotiation. If unresolved after 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in English. You waive any right to participate in class action lawsuits or class-wide arbitration.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the App. Your continued use of Gather after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the App and delete your account.
